Uniform Biological Materials Transfer Agreement (UBMTA)

On March 8, 1995, the National Institutes of Health — on behalf of the Public Health Service and the Centers for Disease Control — published the final version of the Uniform Biological Material Transfer Agreement (UBMTA) and a Simple Letter Agreement for the Transfer of Non-Proprietary Biological Material. For institutions that have signed the UBMTA Master Agreement, materials can be transferred under the terms of the UBMTA upon execution of an Implementing Letter for the particular transfer.

AUTM agreed with NIH that, as a matter of convenience, AUTM will serve as the repository for the signed UBMTA Master Agreements from those institutions wishing to use the UBMTA for some or all of their exchanges of biological materials. AUTM will archive the signed Master Agreements in the original form received and will periodically post a listing including: the name of the institution, the name and title of the official signatory, and the date the Master Agreement was signed. If any institution subsequently decides to withdraw its acceptance of the Master Agreement, AUTM will add the date the institution withdrew its approval. AUTM makes no representations as to the accuracy of the information transcribed from the Master Agreements for posting to this list or as to the actual authority of the signature. Each institution relying on the AUTM listing does so at its own risk.

While there has not been any formal agreement on a material transfer agreement format for use when a for-profit entity is providing material to a non-profit organization, AUTM, NIH and a number of industry representatives from what was then the Pharmaceutical Manufacturers Association developed a draft agreement in 1992. This Industry to Non-Profit UBMTA draft was circulated to the AUTM membership in January 1993.
