Why This Initiative?

AUTM’s Transact Database is comprised of comprehensive records of de-identified licensing agreements. It is available to anyone who wishes to purchase a subscription regardless of their AUTM membership status. The Database offers a unique resource to technology transfer professionals:

  • Inform the market of comparable transactions
  • Allow not-for-profit licensors and licensees to confirm fair market value for their transactions
  • Aid small entities that may not have access to comparables or may not have a high volume of transactions with which to aid in valuation of intellectual property
  • Increase the speed of academic/industry transactions

AUTM’s TransACT Database may also prove useful to offices of general counsel or other university administrators who are concerned with fair market value and anti-kickback regulations. The ability to compare deal terms to fair market value should provide some assurance that deals do not include additional considerations in return for hidden preferences.

We Need Your Deals!

The TransACT Database expands with every new transaction entered by participating institutions. Information regarding licensing transactions is kept confidential. The database does not accept information relating to the identity of the parties to the transactions.

AUTM is interested in a broad spectrum of license agreements (e.g., exclusive as well as non-exclusive) covering a range of industry sectors (e.g., biomedical, nanotechnology, etc.). We are particularly interested in deals containing a variety of business terms (e.g., upfront payments, milestones, equity, etc.).

Purchasing TransACT Subscription

The database subscription fee for both industry and academic institutions is $1,995 per year.

For academic institutions, the annual subscription fee can be reduced to zero if the academic institution annually enters a certain number of deals into the database. The number of deals to qualify for the subscription fee waiver will vary by the academic institution's annual research expenditures:

 Institution's Annual Research Expenditures   Deals Submitted to Qualify for Subscription Fee Waiver 
 less than $100 million  at least three (3) deals annually
 between $100 million and $300 million  at least six (6) deals annually
 greater than $300 million  at least twelve (12) deals annually

Confidentiality

AUTM contracts with Peerfocus, an independent third party bound by terms of confidentiality, to collect the AUTM TransACT Database data. Participants will enter data directly into the database. The data collected is comprehensive so that the full picture of the value included in the deal is understood. However, no information relating to the identity of the licensee or licensor will be collected or revealed, except that the identity of the party entering data will be separately and confidentially tracked by Peerfocus so that credit is given for pricing purposes. AUTM will only receive information from Peerfocus as to the number of licenses entered into the database, and no other information. To ensure duplicate agreements are not entered into the database, only academic institutions will be allowed to input data. AUTM will at no time be aware of the parties linked to specific data in the database.
